Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a binding legal agreement between you ("you," "User," or "Customer") and Huettl Integration LLC, a North Dakota limited liability company ("Huettl," "we," "us," or "our"), governing your access to and use of the Huettl web application, website at huettl.ai, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of the Service

Huettl is a software-as-a-service (SaaS) platform designed for real estate professionals. It provides tools for lead management, listing marketing, content generation, transaction tracking, daily briefings, comparative market analysis, and AI-assisted workflows.

The Service is provided on an "as-is" and "as-available" basis. Features may be added, modified, or removed over time.

3. Eligibility and Account Registration

You must be at least 18 years old and able to form a legally binding contract to use the Service. By creating an account, you represent that you meet these requirements.

You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access

4. Subscription and Billing

4.1 Subscription Plans

Access to the Service requires a paid subscription. Current pricing is published at huettl.ai and may be updated from time to time. Price changes will not affect your current billing period.

4.2 Payment

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). Payment is processed by Stripe, Inc. By subscribing, you authorize us to charge your payment method for all applicable fees.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel at any time from your account settings.

4.4 Taxes

Fees do not include applicable taxes. You are responsible for any taxes owed based on your jurisdiction.

4.5 Failed Payments

If a payment fails, we may suspend or terminate your access until the balance is paid. Repeated failures may result in account termination.

5. Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you will retain access until that date.

Refunds are governed by our Refund Policy.

6. Your Data and Content

6.1 Ownership

You retain all rights to the data you upload, create, or generate through the Service ("Your Content"), including leads, listings, transactions, messages, and media. We do not claim ownership of Your Content.

6.2 License to Us

You grant us a limited, non-exclusive, worldwide license to store, process, and transmit Your Content solely to provide the Service to you. This license ends when you delete Your Content or terminate your account.

6.3 Data Isolation

Your Content is stored in a workspace isolated from other users. We do not share Your Content with other customers.

6.4 Your Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of Your Content, including compliance with real estate licensing laws, fair housing laws, privacy laws, and advertising regulations in your jurisdiction.

7. AI-Generated Content

The Service uses artificial intelligence to generate drafts of emails, marketing copy, social content, transaction summaries, and similar materials ("AI Content"). You acknowledge and agree that:

  • AI Content is a draft that you must review before using, sending, or publishing
  • AI Content may contain errors, inaccuracies, or statements that do not reflect your intent
  • You are solely responsible for any AI Content you choose to send, publish, or act upon
  • AI Content is not legal, financial, or professional advice
  • Comparative market analysis (CMA) outputs are assistive and are not official appraisals

We are not liable for any consequences arising from AI Content that you review, approve, send, or publish.

8. Acceptable Use

You agree not to:

  • Use the Service to violate any law, regulation, or third-party right
  • Send spam, unsolicited marketing, or communications that violate CAN-SPAM, TCPA, or similar laws
  • Engage in fair housing violations or discriminatory practices
  • Upload content that is illegal, defamatory, infringing, or harmful
  • Attempt to reverse engineer, decompile, or interfere with the Service
  • Use the Service to build a competing product
  • Resell, sublicense, or redistribute the Service without our written consent
  • Share your account credentials or allow unauthorized access
  • Probe, scan, or test the Service's vulnerabilities without permission
  • Use automated systems to access the Service in ways that harm its operation

Violation of this section may result in immediate suspension or termination without refund.

9. Third-Party Services and Integrations

The Service integrates with third-party providers, including Google (Gmail and Calendar), Stripe (payments), Anthropic (AI), and others. Your use of these integrations is subject to the respective third parties' terms and privacy policies. We are not responsible for the acts, omissions, or policies of third parties.

10. Intellectual Property

All rights, title, and interest in the Service — including software, designs, logos, trademarks, and documentation — are owned by Huettl Integration LLC or its licensors. Nothing in these Terms grants you any ownership rights in the Service beyond the limited license to use it.

11. Termination

11.1 By You

You may terminate your account at any time by cancelling your subscription and closing your account in settings.

11.2 By Us

We may suspend or terminate your account at any time, with or without notice, if you violate these Terms, engage in fraudulent or harmful activity, or for any reason we deem reasonable in our sole discretion.

11.3 Effect of Termination

Upon termination, your right to access the Service ends immediately. You may request an export of Your Content within 30 days of termination, after which we may delete it. Sections that by their nature should survive termination (including ownership, warranties, limitation of liability, and indemnification) will survive.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • AI CONTENT WILL BE ACCURATE, RELIABLE, OR FIT FOR ANY PARTICULAR PURPOSE
  • THE SERVICE WILL MEET YOUR REQUIREMENTS OR BUSINESS NEEDS
  • ANY ERRORS OR DEFECTS WILL BE CORRECTED

YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUETTL INTEGRATION LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
  • DAMAGES ARISING FROM YOUR RELIANCE ON AI CONTENT
  • DAMAGES ARISING FROM ERRORS IN LEAD OUTREACH, MARKETING, OR TRANSACTIONS
  • DAMAGES CAUSED BY THIRD-PARTY SERVICES OR INTEGRATIONS

OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Huettl Integration LLC and its officers, members, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any law or third-party right
  • Your sending, publishing, or acting upon AI Content

15. Changes to the Service and Terms

We may modify the Service or these Terms at any time. Material changes will be communicated via email or an in-app notice at least 7 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Dakota, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in North Dakota, and you consent to personal jurisdiction there.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Huettl Integration LLC regarding the Service.
